These Terms of Use (“Terms”) govern your access to and use of the ReadyScale platform, website, applications, and services (collectively, the “Service”) provided by ReadyScale, Inc. (“ReadyScale,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms.
To access certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; and (d) accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
ReadyScale is an AI-powered workforce readiness platform that provides: gamified learning paths, AI-powered mentoring, readiness scoring and assessments, workforce analytics, certificate management, and related tools for organizations, trainers, employers, and learners. Features may vary by subscription plan.

You may submit, upload, or share content through the Service (“User Content”), including but not limited to course materials, assessments, comments, and profile information. You retain ownership of your User Content. By submitting User Content to the Service, you grant ReadyScale a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, improving, and providing the Service.
You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not violate any third party's intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and applicable law.
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ReadyScale and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right to use ReadyScale's name, logos, domain names, or other distinctive brand features.
The Service includes AI-powered features such as AI mentoring, readiness scoring, content recommendations, and analytics. You acknowledge that: (a) AI-generated content and recommendations are provided for informational purposes and should not be relied upon as professional, legal, or medical advice; (b) AI outputs may contain inaccuracies and you should independently verify important information; (c) we continuously improve our AI systems but do not guarantee specific outcomes; and (d) your interactions with AI features may be used to improve the Service, subject to our Privacy Policy.
The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by ReadyScale. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.
Your privacy is important to us. Our collection, use, and disclosure of personal information is described in our Privacy Policy. By using the Service, you consent to the collection and use of information as set forth in the Privacy Policy. For organizations subject to data protection regulations (including GDPR, CCPA, and similar laws), we offer data processing agreements upon request.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE. READYSCALE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM READYSCALE OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL READYSCALE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless ReadyScale and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination: (a) your right to use the Service will immediately cease; (b) you may request a copy of your data within 30 days of termination; and (c) we may delete your account data after a reasonable retention period. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Any arbitration shall take place in Wilmington, Delaware.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, via email notification or a prominent notice on the Service. Your continued use of the Service after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and ReadyScale regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
